1. Acceptance
These Terms of Service ("Terms") form a binding agreement between you and Assistrack AI ("Assistrack", "we", "us"). You accept these Terms when you (a) sign up on assistrack.com, (b) message our WhatsApp number, or (c) otherwise use the service. If you do not accept them, do not use the service.
These Terms incorporate our Privacy Policy by reference.
2. The service
Assistrack is a productivity assistant available through WhatsApp. It can set reminders, manage tasks and notes, schedule calendar events, draft and send emails, place voice calls on your behalf to saved contacts (on applicable plans), generate daily briefings, summarise documents you send it, and remember information you ask it to remember.
The service depends on third-party platforms (most notably WhatsApp itself) and may change as those platforms' policies change. We may add, modify, or remove features at our discretion.
3. Eligibility
You must be at least 18 to use Assistrack. By using it you confirm that you are 18 or older.
You may use the service for personal productivity, for your own business, or on behalf of an organisation you are authorised to represent. You may not use it to process other people's data without their lawful basis.
4. Your account
You are responsible for the security of the WhatsApp account and email you use with Assistrack. Notify us immediately at support@assistrack.com if you suspect unauthorised access.
We may suspend or terminate accounts that violate these Terms. See section 14.
5. Acceptable use
You agree not to use Assistrack to:
- do anything illegal under Nigerian or applicable law;
- harass, threaten, defame, or impersonate any person;
- send unsolicited bulk messages, spam, or scams to contacts;
- use the assistant to generate content that exploits children, incites violence, or facilitates fraud;
- interfere with the service's operation, abuse rate limits, or attempt to access accounts you do not control;
- attempt to extract, reverse-engineer, or recreate the underlying AI models or our system prompts;
- violate Meta's WhatsApp Business Terms or Acceptable Use Policy.
We may suspend or terminate accounts that violate this section without notice if the violation is material.
6. AI and WhatsApp policy compliance
Effective 15 January 2026, Meta restricts general-purpose AI chatbots on WhatsApp. Assistrack operates as a purpose-specific productivity tool, not a general-purpose chat companion. In line with that policy:
- The assistant identifies itself as software, not a person, when asked.
- The assistant will not provide medical, legal, or financial advice. It will redirect such requests to qualified professionals or productivity-tool alternatives.
- The assistant will not act as a companion, therapist, or emotional-support agent. It will detect distress signals and direct you to qualified Nigerian crisis resources (including SURPIN, Mentally Aware Nigeria, and emergency services).
- You can stop receiving proactive messages at any time by replying "stop" or "unsubscribe", and your existing reminders will be cancelled.
The AI is software and is sometimes wrong. Verify important details before acting on its output.
7. Voice calls
On plans that include voice calling (currently Operator and Guardian Modes), the assistant can place outbound calls on your behalf to contacts you have explicitly saved.
- The assistant calls only from a saved-contact list. It will not dial arbitrary numbers.
- Calls are recorded for transcript and quality purposes. Recordings are retained per our Privacy Policy.
- The assistant discloses on every outbound call that it is software calling on your behalf. This is required by law in many jurisdictions and is non-negotiable.
- You are responsible for the lawfulness of asking the assistant to call a particular contact, including obtaining their consent where local law requires it for AI-initiated communication.
- Voice minutes are metered against your plan and any purchased credits. When the budget is exhausted the call ends.
8. Emergency features — important
Where the service offers "emergency", "Guardian", or "safety" features, those features:
- may notify the personal contacts you save in advance via WhatsApp messages;
- may share the last location pin you manually sent the bot (we cannot pull live location from WhatsApp);
- cannot dial emergency services. Twilio and other voice providers prohibit AI dialing of emergency numbers.
You are solely responsible for understanding these limitations and maintaining a working emergency-response plan independent of Assistrack.
9. Subscriptions, payments, refunds
Subscription plans, included quotas, and prices are listed at assistrack.com/pricing. Prices are in Nigerian Naira and include applicable taxes unless otherwise stated.
- Auto-renewal. Monthly and annual plans auto-renew at the end of each period until you cancel.
- Cancellation. You can cancel from your billing dashboard at any time. Cancellation takes effect at the end of the current billing period; we do not pro-rate mid-period.
- Refunds. Subscriptions are not refundable once a billing period has begun, except where Nigerian consumer law requires otherwise or where we grant a refund at our discretion (e.g., for service-side failures or accidental double-charges). If we approve a refund we route it through Paystack.
- Call credits. Purchased call-credit packs are non-refundable and do not expire, but they are not transferable between accounts.
- Failed payments. If a renewal payment fails, we will mark the subscription past_due and attempt to retry. Service may be reduced or suspended if the payment is not resolved within a reasonable window.
10. Third-party services
Assistrack relies on services provided by third parties (including Meta / WhatsApp, Anthropic, Vapi, Deepgram, Twilio, Supabase, Vercel, Railway, Paystack, Resend, Google, and others as listed in the Privacy Policy).
Their availability, terms, and policies may affect your use of the service. We are not responsible for outages, policy changes, or actions taken by these providers. Connecting Google Calendar, Gmail, or other accounts is optional and revocable from your Google account at any time.
11. Intellectual property
The Assistrack brand, software, and visual identity are owned by us. You receive a non-exclusive, non-transferable license to use the service while these Terms are in effect, for the purposes described.
You retain ownership of the content you create through the service (your reminders, tasks, notes, drafts, and the conversations you initiate). You grant us a limited license to process that content as necessary to deliver the service, as described in the Privacy Policy.
12. Disclaimers
The service is provided "as is" and "as available", without warranties of any kind except to the extent we cannot lawfully exclude them. We do not warrant that the service will be uninterrupted, error-free, or that AI output will be accurate or suitable for any particular purpose.
13. Limitation of liability
To the fullest extent permitted by law, Assistrack's total liability to you for any claim arising out of or in connection with these Terms or the service is limited to the greater of (a) the amount you paid us in the twelve months preceding the event giving rise to the claim, or (b) ₦20,000.
We are not liable for indirect, consequential, special, incidental, or punitive damages, including lost profits, lost data, or loss of opportunity.
Nothing in this section limits liability that cannot be limited under Nigerian law (including liability for fraud, gross negligence, or wilful misconduct, and statutory consumer rights).
14. Termination
You can terminate your account at any time by writing to support@assistrack.com or by using the in-dashboard delete-account flow.
We may suspend or terminate accounts that violate these Terms, that pose a security risk, that we are required to terminate by law, or that abuse the service in a way that materially harms us or other users.
On termination, the obligations in sections 11, 12, 13, and 16 survive.
15. Changes to these terms
We may update these Terms as our service or the law evolves. The effective date at the top shows the current version. For material changes, we will give you at least 14 days' notice via the dashboard or WhatsApp before the change takes effect. Continued use after the effective date counts as acceptance of the updated Terms.
16. Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria. The courts of Lagos State have exclusive jurisdiction over disputes arising out of or in connection with them, except where mandatory consumer law gives you a right to bring proceedings in another forum.
